These Terms and Conditions ("Terms") constitute a legally binding agreement between you
("Restaurant", "User", or "Subscriber") and AI Waiter Technologies
("nWaiter", "we", "us") governing your access to and use of the nWaiter platform, including
all software, APIs, mobile applications, and related services (collectively, the "Service").
By registering an account or using the Service, you confirm that you have read, understood,
and agree to be bound by these Terms. If you do not agree, you must not use the Service.
1. Acceptance of Terms
By creating an account, clicking "I Agree", or accessing any part of the nWaiter platform, you agree to these Terms, our Privacy Policy, and our Refund Policy, which are incorporated herein by reference. These Terms apply to all users including restaurant owners, staff (admin users, chefs), and end customers interacting with the ordering interface.
2. Description of Service
nWaiter provides a cloud-based, AI-powered restaurant management platform that includes:
- QR code-based digital menu and ordering system for restaurant guests.
- AI voice and text ordering using natural language processing.
- Real-time kitchen order management dashboard (KDS) for chefs.
- Admin dashboard for menu management, table configuration, tax settings, and analytics.
- Payment integration via Razorpay and PayU for restaurant guest payments.
- Subscription management for restaurant operators.
- SuperAdmin console for platform-level management.
We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice to active subscribers.
3. Account Registration & Eligibility
- You must be at least 18 years of age and legally capable of entering into contracts under Indian law to register.
- You must provide accurate, complete, and current registration information including your legal business name, valid email address, and phone number.
- You are responsible for maintaining the confidentiality of your login credentials. You must notify us immediately at support@nwaiter.com if you suspect unauthorised access.
- One account per restaurant location. Multiple locations require separate accounts or an enterprise arrangement.
- We reserve the right to refuse registration or terminate accounts at our discretion if these Terms are violated.
4. Subscription Plans & Payments
4.1 Plans
nWaiter offers subscription tiers (prices in INR, exclusive of applicable GST) — see our Pricing page for current plan names and rates. Plan inclusions and pricing are subject to change as described in Section 4.4.
4.2 Billing
- Subscriptions are billed monthly in advance via our payment gateway.
- All payments are in Indian Rupees (INR). GST at the applicable rate (currently 18%) will be added to subscription fees.
- Invoices are generated automatically and emailed to your registered address.
- Failed payments may result in service suspension after a grace period.
4.3 Renewals
Subscriptions are not auto-renewed. You must manually renew your subscription before expiry via the Admin Dashboard. We will send reminder emails before expiry. Expired subscriptions disable guest ordering until renewed.
4.4 Price Changes
We reserve the right to change subscription pricing with 30 days' written notice. Price changes will not affect your current billing period.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable local, state, national, or international law or regulation.
- Upload false, misleading, or fraudulent menu information or business details.
- Attempt to gain unauthorised access to other restaurants' data, accounts, or the platform's backend systems.
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the platform.
- Use automated bots, scrapers, or other automated means to access the Service without our written permission.
- Transmit viruses, malware, or other harmful code.
- Resell, sublicense, or commercially exploit the Service without express written consent.
- Conduct any fraudulent transactions through the payment integration.
Violation of this section may result in immediate account termination without refund.
6. Intellectual Property
- Our IP: The nWaiter platform, including its software, AI models, user interface, branding, logos, and documentation, is the exclusive intellectual property of AI Waiter Technologies and is protected by Indian and international copyright, trademark, and trade secret laws.
- Your Content: You retain ownership of all content you upload to the platform (menu items, images, business information). By uploading content, you grant us a limited, non-exclusive, royalty-free licence to display and process this content solely for the purpose of providing the Service.
- Feedback: If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use this feedback without restriction or compensation.
7. Data Ownership
- You own all business data, menu data, order data, and customer data generated through your restaurant's use of the platform.
- We act as a data processor for this data on your behalf and do not use it for any purpose other than providing the Service, except in anonymised, aggregated form for platform improvement.
- Upon account closure, you may request a data export. After 90 days of account closure, your data will be permanently deleted from our systems.
8. Uptime & Service Levels
We target 99.5% monthly uptime for the core ordering and kitchen management features. Scheduled maintenance will be announced at least 24 hours in advance via email and the platform dashboard. We are not liable for downtime caused by:
- Third-party service outages (payment gateways, cloud providers, AI APIs).
- Force majeure events (natural disasters, government actions, etc.).
- User-caused issues (incorrect configuration, browser incompatibility).
- Scheduled maintenance windows.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- nWaiter's total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the total subscription fees paid by you in the 3 months preceding the claim.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of revenue, loss of data, or business interruption, even if advised of the possibility of such damages.
- We are not responsible for disputes between restaurants and their customers regarding food quality, order accuracy, or delivery — nWaiter is a technology platform and not a party to the restaurant-customer transaction.
10. Indemnification
You agree to indemnify, defend, and hold harmless nWaiter, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:
- Your use of or access to the Service.
- Your violation of these Terms.
- Your violation of any applicable law or the rights of any third party.
- Any content you upload to the platform.
11. Termination
11.1 By You
You may cancel your subscription at any time from the Admin Dashboard. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused days in the current period (see Refund Policy).
11.2 By Us
We may suspend or terminate your account immediately and without notice if you:
- Violate any provision of these Terms.
- Engage in fraudulent activity.
- Fail to pay subscription fees within the grace period.
- Provide false registration information.
11.3 Effect of Termination
Upon termination, your access to the platform is immediately revoked. Guest ordering via your QR codes will be disabled. Data export must be requested within 90 days of termination.
12. Governing Law & Disputes
- These Terms are governed by and construed in accordance with the laws of India.
- Any disputes arising from these Terms or the use of the Service shall be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka, India.
- Before initiating legal proceedings, parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days.
- If negotiation fails, disputes shall be resolved through binding arbitration under the Arbitration and Conciliation Act, 1996 (India), with a single arbitrator appointed by mutual agreement.
13. Changes to Terms
We may revise these Terms at any time. For material changes, we will provide at least 30 days' written notice via email. Continued use of the Service after the effective date of revised Terms constitutes your acceptance. If you disagree with the changes, you must cancel your subscription before the effective date.
